Terms of Service

These Terms of Service (“Terms”) govern access to and use of CUNNTAS, a bookkeeping, accounting, payroll and financial administration platform operated by Mayside Partners Limited, a company registered in Scotland under company number SC642690 (“Mayside Partners”, “CUNNTAS”, “we”, “us” or “our”).

By registering for, accessing or using CUNNTAS, you agree to these Terms. Where you use CUNNTAS on behalf of an Organisation, you confirm that you are authorised to act for that Organisation.

1. The CUNNTAS Service

CUNNTAS provides software and related services for bookkeeping, accounting, payroll, financial administration, banking integration, reporting and associated business functions.

CUNNTAS is pronounced “KOON-tas”. The name comes from the Scottish Gaelic word cunntas, meaning “account”, “accounts”, “accounting” or “reckoning”, reflecting both the purpose of the platform and its Scottish identity.

Features may vary according to the services, subscription or permissions available to a User or Organisation.

We may develop, modify, replace or discontinue individual features as CUNNTAS develops, provided that we do not materially reduce a paid service without reasonable justification or appropriate notice.

2. User Accounts

Each User must maintain an individual CUNNTAS account and provide accurate and current registration information.

Login credentials are personal to the User and must not be shared.

Users are responsible for activity undertaken through their accounts and must notify us promptly if they believe their account, password, Authenticator credentials or Recovery Codes have been compromised.

CUNNTAS requires Two-Factor Authentication. Users may be permitted to trust a browser for a defined period, but should only do so on a device under their control.

3. Organisations and Authorised Users

A CUNNTAS User may own, administer or be authorised to access one or more Organisations.

The Organisation is responsible for determining which Users may access its information and the permissions granted to those Users.

A User must not access, alter or attempt to obtain information belonging to an Organisation unless properly authorised to do so.

CUNNTAS may maintain audit records of access, transactions, changes and other activity undertaken within an Organisation.

4. Information Entered into CUNNTAS

Users and Organisations are responsible for the accuracy, completeness and lawfulness of information entered, imported or connected to CUNNTAS.

CUNNTAS may perform calculations, classifications, reconciliations and other processing based upon information supplied by Users, Organisations, financial institutions, payment providers or other connected services.

The accuracy of resulting records and reports therefore depends upon the accuracy and completeness of the underlying information.

Users should review financial, accounting, payroll and regulatory information before relying upon it or submitting it to a third party or public authority.

5. Bookkeeping and Accounting

CUNNTAS provides facilities intended to assist Organisations in maintaining financial records and preparing accounting information.

Use of the platform does not transfer responsibility for an Organisation's accounts, records, tax obligations, filings or statutory duties to CUNNTAS or Mayside Partners Limited except where we have expressly agreed in writing to provide a particular managed service.

Users remain responsible for ensuring that their Organisation complies with applicable accounting, tax and record-keeping requirements.

6. Payroll

Where payroll functions are used, the Organisation remains responsible for providing accurate employee, payment, tax, pension and employment information and for reviewing payroll calculations and submissions.

CUNNTAS may assist with calculations, records and submissions, but the Organisation remains responsible for its obligations as an employer unless a separate written agreement expressly provides otherwise.

7. Banking and Open Banking

CUNNTAS may allow Organisations to connect eligible bank accounts through Open Banking or another authorised banking service.

Banking information supplied through a connected provider depends upon the information made available by the relevant financial institution or provider. Certain account information may therefore be unavailable or incomplete.

Users must only connect accounts they are authorised to access.

CUNNTAS does not guarantee the continuous availability of any bank, financial institution, Open Banking provider or external banking interface.

8. Subscriptions and Charges

Access to some or all CUNNTAS services may require a paid subscription.

Applicable charges, billing periods and VAT will be stated when the subscription is established or changed.

Unless otherwise stated, recurring subscriptions continue for successive billing periods until cancelled in accordance with the applicable subscription terms.

Invoices and Credit Notes issued by CUNNTAS form part of the permanent billing record associated with the relevant Organisation or subscription.

9. Payments

Payments may be processed by an external payment provider.

The User or Organisation authorises the applicable subscription charges when establishing a paid service and is responsible for maintaining a valid payment method where recurring payment is required.

Failure or reversal of payment may result in restricted access, suspension or termination of paid services after any applicable notice or payment-recovery process.

10. Cancellation

An Organisation may cancel a subscription using the facilities provided through CUNNTAS or another cancellation method we make available.

Cancellation ordinarily prevents further renewal after the applicable paid period unless otherwise stated at the time of cancellation.

Amounts already properly charged are not automatically refundable merely because a subscription is subsequently cancelled.

Nothing in these Terms limits any cancellation or refund right that cannot lawfully be excluded.

11. VAT and Taxes

Prices may be stated exclusive or inclusive of VAT as indicated at the point of purchase or on the relevant invoice.

Where VAT or another tax is legally chargeable, it will be applied at the appropriate rate.

Users and Organisations remain responsible for their own tax affairs and for determining the tax treatment of transactions recorded through CUNNTAS.

12. Acceptable Use

CUNNTAS must not be used to commit or facilitate unlawful activity, fraud, unauthorised access, deception or infringement of another person's rights.

Users must not attempt to circumvent security controls, access another User's or Organisation's information without authority, interfere with the operation of the platform, introduce malicious software, probe the platform for vulnerabilities without written permission, or use automated methods in a manner that unreasonably disrupts the service.

We may restrict or suspend access where reasonably necessary to protect CUNNTAS, its Users, Organisations or connected systems.

13. Security

We use technical and organisational measures intended to protect CUNNTAS and information processed through it.

No internet-connected system can be guaranteed to be completely secure or continuously available.

Users are responsible for maintaining the security of their own devices, email accounts, passwords, Authenticator Apps and Recovery Codes.

14. Availability and Maintenance

We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability.

CUNNTAS may occasionally be unavailable because of maintenance, upgrades, security work, infrastructure failure, third-party service interruption or circumstances outside our reasonable control.

Where reasonably practicable, planned maintenance that materially affects availability will be managed to minimise disruption.

15. Third-Party Services

CUNNTAS may integrate with services provided by banks, Open Banking providers, payment providers, government services and other third parties.

Those services are outside our direct control and may be governed by their own terms.

We are not responsible for a third-party service becoming unavailable, changing its interface, providing inaccurate or incomplete information, or ceasing to provide functionality upon which an integration depends.

16. Intellectual Property

CUNNTAS, its software, design, databases, documentation, branding and associated materials are owned by or licensed to Mayside Partners Limited and are protected by applicable intellectual-property law.

Use of CUNNTAS gives the User a limited right to access the service for its intended purposes. It does not transfer ownership of the platform or its underlying intellectual property.

Users and Organisations retain their rights in information and materials they lawfully provide to CUNNTAS.

17. Data and Privacy

Personal information is processed in accordance with the CUNNTAS Privacy Policy.

Users and Organisations are responsible for ensuring that personal information they provide or process through CUNNTAS is handled lawfully and that they have an appropriate basis for doing so.

18. Support and Administrative Access

CUNNTAS may provide support facilities through which an authorised User can permit temporary access to an Organisation for troubleshooting or support purposes.

Where such access requires User approval, CUNNTAS personnel will not use that facility without the required authorisation.

Support and administrative activity may be recorded in platform audit records.

19. Suspension and Termination

We may suspend or terminate access where a User or Organisation materially breaches these Terms, fails to pay applicable charges, presents a security risk, uses CUNNTAS unlawfully, or where suspension is reasonably necessary to comply with a legal or regulatory obligation.

Where appropriate and reasonably practicable, we will provide notice and an opportunity to remedy the issue before terminating access.

Termination does not remove obligations or liabilities that arose before termination.

20. Access to Records Following Termination

Ending a subscription may affect access to CUNNTAS functionality.

Certain accounting, billing, audit, tax or regulatory records may need to be retained after a subscription ends.

Where applicable, Users should export or otherwise obtain records they are required to retain before their access ends.

21. Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for fraud or fraudulent misrepresentation or for death or personal injury caused by negligence.

Subject to those limitations, Mayside Partners Limited is not responsible for losses arising solely from inaccurate or incomplete information supplied by a User, Organisation or third-party provider, unauthorised use of a User's credentials, or circumstances outside our reasonable control.

CUNNTAS is a business financial-administration platform. To the extent permitted by law, we are not liable for indirect or consequential business losses that were not reasonably foreseeable when the relevant service was provided.

22. Changes to These Terms

We may update these Terms to reflect changes to CUNNTAS, applicable law, regulatory requirements or the way services are provided.

Where a change materially affects an existing paid service, we will provide reasonable notice where required or appropriate.

The current Terms will be published through CUNNTAS and identified by their Last Updated date.

23. Governing Law

These Terms and any dispute or claim arising from them are governed by the laws of Scotland, except where applicable law requires otherwise.

Subject to any mandatory rights that apply, the Scottish courts will have jurisdiction in relation to disputes arising from these Terms.
